The term ‘372’ refers to 372 Digital Pty Ltd.

 

  1. QUOTATIONS
    Quotation is valid for 30 days from date of issue. Specifications are subject to change. All errors are subject to correction.
  2. FEE STRUCTURE
    Fees are GST inclussive. GST is applicable to Australian organisations and are subject to change. 372’s service fee per hour is as follows:

  3. AUTHOR’S CORRECTIONS
    Changes to original instructions, text or photos and any 10. work that extends outside the scope are charged at the hourly fee with a minimum of half an hour.
  4. REVISIONS
    All revision allowances are design based only. Any design revisions beyond the allocated amount are charged at the 11 hourly fee with a minimum of half an hour.
  5. THIRD-PARTY SOFTWARE
    372 is not liable for ongoing product licensing, bugs or defects arising from the installation and or implementation of any third-party software unless included in scope.
  6. WEBSITE WARRANTY STANDARD
    372 offers a 90-day warranty effective from project completion to ensure the website functions as specified. The warranty covers any programming and structural errors directly administered by 372 and reported within the 13. period. The warranty does not extend to any errors caused by the client or any third-party.
  7. LIMITATION TO COPYRIGHT
    Websites or other online materials administered by 372 including custom code relating to page design, layout and functionality are licensed to the client for use only as installed by 372.
  8. COPYRIGHT
    Artworks remain copyright to and property of 372 until all outstanding invoices are paid in full. Any non-final artworks such as drafts remain copyright to and property of 372. 372 reserves the right to use all works administered by the company for showcase and promotional purposes. Due to international copyright and trademark law, 372 will not be held liable should the client be found to be infringing on an already existing copyright, trademark or service mark relative to the project name, description or service.
  9. CANCELLATIONS
    Cancellation of services is subject to a kill fee of 40% based on the agreed project cost plus all relative work administered thereafter. If at anytime the client decides not to progress further, then they shall be liable to pay the kill fee within 30 days of cancellation. In an event of a cancellation, all work administered up to the point of cancellation remains copyright to and property of 372 Digital.
  10. ARTWORK DRAFTS
    It is the client’s responsibility to check all artwork drafts thoroughly and notify 372 of any issues to rectify. Work will resume only upon receipt of new instructions from the client.
  11. END OF PROJECT
    A project shall be deemed complete after the client has reviewed the work and indicated satisfaction in writing. If the client fails to contact 372 within a period of 30 days without explanation, the project shall be deemed satisfactory and complete.
  12. PRODUCTION DELAY
    372 is not responsible for production delays caused by the client or any third-party. In the event of a production delay, originally agreed timelines are subject to change. Overtime rates apply if production deadline cannot be moved.
  13. RESUMPTION
    A 3% resumption fee of the contract price is payable in advance for each occasion production is delayed more than 60 days for any reason outside 372’s control.
  14. CHANGE IN MANAGEMENT
    In the instance where there is a change of project manager or contact person within the client’s organisation, a 3% fee may be payable based on the contract price to cover the cost of facilitating the education of the new contact person.
  15. PAYMENTS
    Payments can be made via electronic transfer, cash or cheque. Credit card payments are accepted through PayPal and are subject to a 4% surcharge. Standard payment request times are 14 to 30 days from date of invoice. Late payments are subject to a 5% increase per week based on the invoice total.
  16. CLIENT DEFAULT
    Client must reimburse 372 on demand for any costs or losses sustained or incurred by 372 arising directly or indirectly from the client being at default.
  17. SUSPENSION OF SERVICES
    372 reserves the right to suspend or cancel services in accordance with this quotation, or any other quotation provided by 372 and accepted by the client, in the event the client fails to perform their obligations under the Terms of Service and any conditions agreed in writing by the client and 372 additional to this agreement.
